1. Acceptance of Terms

By accessing or using Next PAL Nexus, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, do not use the service.

2. Description of Service

Next PAL Nexus is a backup management platform that orchestrates and monitors PostgreSQL backups, file-level backups, and infrastructure backup operations. The service is provided on a subscription basis.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Acceptable Use

You agree to use Next PAL Nexus only for lawful purposes. Prohibited activities include:

• Attempting to gain unauthorized access to the service or other accounts
• Interfering with service operation or other users
• Using the service to store or transmit malicious code
• Violating any applicable laws or regulations
• Reverse engineering or attempting to extract source code

5. Subscription and Payment

Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees. Failure to pay may result in service suspension or termination.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible. See our SLA for specific uptime commitments.

7. Data and Backups

You retain all rights to your data. We do not access your backup data, which remains on your infrastructure. You are responsible for maintaining your own backups of critical configurations.

8. Intellectual Property

Next PAL Nexus and all related technology are the property of Next PAL Technologies, Inc. You receive a limited, non-exclusive license to use the service during your subscription period.

9. Confidentiality

Both parties agree to protect confidential information disclosed during the relationship. This obligation survives termination of the agreement.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXT PAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA.

12. Indemnification

You agree to indemnify and hold Next PAL harmless from any claims arising from your use of the service or violation of these terms.

13. Termination

Either party may terminate the agreement with 30 days notice. We may suspend or terminate your account immediately for violations of these terms. Upon termination, you must cease using the service and may request data export.

14. Changes to Terms

We may modify these terms at any time. Material changes will be notified via email 30 days in advance. Continued use after changes constitutes acceptance.

15. Governing Law

These terms are governed by the laws of the State of California, USA, without regard to conflict of law provisions. Disputes will be resolved in San Francisco County courts.
